Allegiant's acquisition of Sun Country cleared for takeoff

With the U.S. Transportation Department's April 15 approval of Allegiant's acquisition of Sun Country, the airlines have cleared all regulatory hurdles for their $1.5 billion cash-and-stock deal.

The Department of Justice granted antitrust clearance for the Allegiant-Sun Country merger on March 16.

Allegiant and Sun Country have scheduled their respective special meetings of shareholders for May 8. Should the shareholders vote to approve the merger, Allegiant and Sun Country expect a closing to occur as early as May 13.

The DOT has approved the airlines' request to operate as separate carriers under common ownership after the deal closes. Allegiant and Sun Country will continue to operate independently while advancing toward a single operating certificate. When that is achieved, the Sun Country brand will be retired.
